Terms of Service
1. Introduction and Acceptance
These Terms of Service ("Terms") govern your access to and use of the Deans Insight platform, website, and related services (collectively, the "Service") operated by Deans Insight ("we", "us", or "Deans Insight"). By accessing or using any part of the Service, you agree to be bound by these Terms. If you do not agree to all of these Terms, you may not access or use the Service.
These Terms constitute a binding legal agreement between you and Deans Insight. We encourage you to read them carefully before proceeding.
2. Eligibility and Account Access
The Service is designed exclusively for verified higher education professionals, including Deans, Rectors, Vice-Chancellors, Directors of Strategy, and their institutional staff (collectively, "Authorised Users"). Access is subject to institutional verification and requires a valid institutional email address.
By registering for or using the Service, you represent and warrant that:
- You are at least 18 years of age;
- You hold a current position at an accredited higher education institution;
- The email address you provide belongs to your institution and has been approved for access;
- All information you provide during registration is accurate, current, and complete;
- You will maintain the confidentiality of any access credentials and promptly notify us of any unauthorised use.
Deans Insight reserves the right to verify your eligibility at any time and to suspend or terminate access without notice if you do not meet the eligibility requirements.
3. Licence to Use the Service
Subject to your compliance with these Terms, Deans Insight grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service solely for your internal, non-commercial institutional purposes.
This licence does not include any right to:
- Reproduce, distribute, or publicly display any content derived from the Service;
- Sell, resell, license, sublicense, or otherwise commercially exploit the Service or any portion thereof;
- Use automated means (such as bots, scrapers, or crawlers) to access or extract data from the Service;
- Frame, mirror, or otherwise incorporate any part of the Service into another platform or product;
- Circumvent any access controls or security measures of the Service.
4. Intellectual Property
The Service, including all software, algorithms, databases, compiled analyses, visual design, trademarks, and written content, is and remains the exclusive property of Deans Insight and its licensors. Nothing in these Terms transfers any ownership interest in the Service to you.
The Deans Insight name and logo are proprietary marks of Deans Insight. You may not use them without our prior written consent.
Insights, reports, and analytical outputs generated by the Service are proprietary to Deans Insight and are licensed, not sold, to you under these Terms. You may use such outputs for internal institutional decision-making but may not redistribute, publish, or commercialise them.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
- Use the Service to violate any applicable law or regulation, including data protection laws;
- Attempt to reverse-engineer, decompile, or disassemble any component of the Service;
- Introduce malicious code, viruses, or other harmful software;
- Impersonate any person or entity, or misrepresent your affiliation with any institution;
- Use insights derived from the Service to unfairly harm, discriminate against, or harass any individual or group;
- Share your access credentials with individuals outside your institution without our prior written consent.
6. Data and Analytics
The Service aggregates and analyses information derived from publicly available sources to produce institutional intelligence. Deans Insight does not represent that individual data points are exhaustive or error-free. All analytics and insights are provided for strategic informational purposes only and should be considered alongside other sources before any significant institutional decision is made.
You acknowledge that alumni data and career trajectory information presented in the Service is derived from publicly available sources and aggregated statistical models. Deans Insight is not responsible for the accuracy, completeness, or fitness for purpose of any specific data point.
7. Confidentiality
Any non-public information provided by Deans Insight to you in connection with the Service, including access to methodology documentation, pricing, or product roadmaps ("Confidential Information"), shall be kept strictly confidential. You agree not to disclose Confidential Information to any third party without our prior written consent and to use it solely in connection with your authorised use of the Service.
8. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DEANS INSIGHT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Deans Insight does not warrant that: (a) the Service will be uninterrupted or error-free; (b) any data, analysis, or insight will be accurate, complete, or current; or (c) the Service will meet your specific institutional requirements.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DEANS INSIGHT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, INCLUDING DAMAGES FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF DEANS INSIGHT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL DEANS INSIGHT'S AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO DEANS INSIGHT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE THOUSAND EUROS (€1,000).
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability; in such jurisdictions, Deans Insight's liability shall be limited to the maximum extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Deans Insight and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or the rights of any third party; or (c) any content you submit to or through the Service.
12. Term and Termination
These Terms are effective from the date you first access the Service and continue until terminated. Deans Insight may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including breach of these Terms.
Upon termination, your licence to use the Service will immediately cease. Provisions that by their nature should survive termination — including Sections 4, 7, 9, 10, 11, and 13 — shall survive.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Deans Insight is incorporated, without regard to conflict-of-law principles. Any dispute arising from these Terms shall be resolved through binding arbitration or, where arbitration is not permissible, in the competent courts of that jurisdiction. If you are an individual based in the European Union, you retain the benefit of any mandatory consumer protection provisions of the law of your country of residence.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email (to the address associated with your account) or by posting a notice on the Service. Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of the changes. We encourage you to review these Terms periodically.
15. General Provisions
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Deans Insight regarding the Service and supersede all prior agreements relating thereto.
Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Waiver. No waiver of any right or remedy under these Terms shall be effective unless in writing. Failure to enforce any provision shall not constitute a waiver of the right to do so in the future.
Assignment. You may not assign or transfer any rights or obligations under these Terms without our prior written consent. Deans Insight may freely assign these Terms.
